These Terms of Use govern your use of tadlas.com (the "Website") and, unless a signed agreement says otherwise, the professional services of Tadlas LLC, a Wyoming limited liability company ("Tadlas", "we", "us"). By using the Website or our services, you agree to these terms. Your use of the Website is also subject to our Privacy Policy; payments and refunds are described in our Refund Policy.

1. Use of the Website

You may use the Website for lawful purposes only. You must not attempt to disrupt it, gain unauthorized access to it or to our systems, or use it to send unlawful or harmful content.

2. Professional services

Each engagement is defined by a written quote or statement of work, which prevails over these terms. Unless it says otherwise:

• Payment: invoices are payable in USD within 15 days.
• Delivery: deliverables are delivered electronically; we do not ship physical goods.
• Intellectual property: deliverables created for you are transferred to you once paid in full. We keep our pre-existing tools, know-how and generic components, and grant you a license to use them as part of the deliverables.
• Confidentiality: each party keeps the other's confidential information confidential and uses it only for the engagement.
• Security testing: we test only systems that you own or are authorized to have tested, under a written authorization that defines the scope and dates.
• Liability: our total liability for an engagement is limited to the amounts paid for that engagement.

3. Intellectual property of the Website

The Website and its content belong to Tadlas LLC or its licensors. You may not copy or reuse them without our written permission, except for personal, non-commercial viewing.

4. Security research

If you believe you have found a security issue on the Website, please report it to contact@tadlas.com. Do not access data that is not yours or disrupt the service.

5. Disclaimer

The Website is provided "as is", without warranties of any kind. We do not guarantee that it will be available without interruption or free of errors.

6. Limitation of liability

To the extent permitted by law, Tadlas LLC is not liable for any indirect, incidental or consequential damages arising from your use of the Website, and our total liability for any claim relating to the Website is limited to USD 100. Nothing in these terms limits rights you have under mandatory law.

8. Governing law and jurisdiction

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules. Any dispute shall be submitted to the exclusive jurisdiction of the state and federal courts located in Wyoming, except where mandatory consumer law provides otherwise.

If a provision of these terms is unenforceable, the rest remains in effect. We may update these terms; the effective date above shows the latest version.
